Job Summary
The associate will provide comprehensive support to the legal and compliance functions within the Company by assisting in legal advisory, corporate compliance, dispute resolution, regulatory filings, and legal risk management. The role involves close collaboration with internal stakeholders and regulatory bodies to ensure the Company’s activities comply with applicable laws and industry regulations.
An ideal candidate for this role should have a minimum of 4 years post-active qualification experience, with a highly successful corporate/commercial practice obtained in a law firm or as in-house counsel within a reputable organization.
Key Responsibilities
Legal Advisory & Risk Management
- Support the Legal & Compliance Department in providing sound legal advice and opinions on business operations, transactions, and contracts.
- Identify and analyze legal and commercial risks in business engagements and recommend appropriate mitigation strategies.
- Remain proactive in safeguarding the Company against potential legal liabilities or exposure.
Regulatory Compliance & Filings
- Prepare and file corporate and regulatory documentation with government and industry regulatory agencies such as Nigerian Electricity Regulatory Commission (NERC), Corporate Affairs Commission (CAC) and other relevant statutory bodies.
- Monitor compliance with regulatory requirements affecting the Company’s operations in the energy and power sector, including licensing, reporting obligations, and governance standards.
- Maintain a current understanding of applicable laws, policies, and industry regulations, and provide internal advice on compliance and impact on operations.
Company Secretarial Support
- Assist in performing company secretarial functions, including:
- Drafting board resolutions, minutes of meetings, and shareholder communications.
- Maintaining statutory registers and corporate records.
Documentation & Transactional Support
- Draft, review, and revise legal documents including contracts, NDAs, MOUs, service agreements, and internal policies.
- Assist in structuring and supporting commercial transactions, including due diligence, legal research, and negotiation preparation.
- Prepare and review internal and external correspondence with legal implications.
Dispute Resolution & Litigation Support
- Support the coordination of the Company’s dispute and litigation portfolio.
- Liaise with external counsel, monitor the progress of cases, and maintain litigation records.
- Contribute to the speedy and efficient resolution of legal disputes and claims.
Legal Research & Policy Input
- Conduct legal research using available tools to support internal opinions, legal positions, and recommendations.
- Contribute legal input in policy development and business processes to ensure alignment with regulatory frameworks.
- Assist in drafting legal opinions and internal legal guidance notes.
Cross-functional Support
- Communicate and coordinate with external stakeholders, including regulators, legal consultants, and industry bodies, when required.
- Support internal departments in understanding legal documentation, rights, obligations, and compliance requirements.
- Help maintain internal legal documentation, version control, and retrieval systems.
Qualifications
Education
- Bachelor of Laws (LL.B) and Barrister-at-Law (B.L) with active membership of the Nigerian Bar Association (NBA).
- Master’s degree or professional certification is an added advantage.
Experience
- Minimum of 4 years post-call experience in a reputable law firm or as in-house counsel.
- Prior experience within the energy or power sector will be a strong advantage.
Skills & Competencies
- Strong understanding of Nigerian corporate, regulatory, and commercial laws.
- Excellent drafting, analytical, and research skills.
- High attention to detail and ability to manage multiple tasks and deadlines.
- Strong interpersonal and communication skills, with the ability to engage effectively with regulators and internal stakeholders.
- Demonstrated integrity, sound judgment, and discretion in handling confidential information.
- Proficiency in Microsoft Office Suite and familiarity with legal documentation
- tools.
